Terms of Service

1. Acceptance of Terms

By using ApexWorkflow.app or engaging ApexWorkflow LLC, you agree to these Terms.

2. Description of Services

AI workflow automation, AI agent development, staff augmentation. Detailed deliverables outlined in a separate Statement of Work (SOW).

3. Intellectual Property

• Client IP: Remains solely with you.
• Agency IP: We retain core libraries/prompts. Upon full payment, you receive a perpetual license to use the custom workflows built for you.

4. Payment Terms

• 50% non-refundable retainer to start. Remaining 50% due upon delivery of the working prototype. Late payments subject to 1.5% monthly interest.

5. Limitation of Liability

To the maximum extent permitted by Wyoming law, we are not liable for indirect, incidental, or consequential damages. Total liability shall not exceed total fees paid in the prior 12 months. We rely on W.S. 6-5-308 for false filings.

6. Governing Law

Governed by the laws of the State of Wyoming. Venue lies exclusively in Laramie County, Wyoming.
